Artists Agreement

This Artist Agreement (“Agreement”) is made between The Impulse Tunes Media (“Impulse Tunes”), a media company established in Ghana with a global reach, and you, the artist or the authorized representative of the artist(s) (“Artist”). This Agreement outlines the terms and conditions under which Impulse Tunes will distribute your musical works.

By clicking “I Agree” or by submitting your content through the Impulse Tunes platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

1. Services Provided by Impulse Tunes

Impulse Tunes will provide the following services:

• Global Digital Distribution: We will deliver your submitted audio recordings and associated metadata (e.g., artwork, artist name, track titles) to a wide network of digital service providers (“DSPs”) worldwide. This includes, but is not limited to, major platforms such as Spotify, Apple Music, Deezer, Tidal, YouTube Music, TikTok, Meta (Facebook/Instagram), Tencent Music, and many other streaming, download, and social media platforms.
• Royalty Collection: We will collect all royalties and revenues generated from the exploitation of your music through the DSPs on your behalf.
• Transparent Reporting: We will provide you with access to your Impulse Tunes account, where you can view detailed reports of your earnings and track your music’s performance.
• Payment Processing: We will process your earned royalties and make payments to you in accordance with the payment terms outlined in this Agreement.
• Customer Support: We will offer support to assist you with any questions or issues related to your distribution.

2. Artist’s Grant of Rights

You, the Artist, hereby grant Impulse Tunes a non-exclusive, worldwide, royalty-free license to:

• Distribute and Exploit Music: Reproduce, distribute, publicly perform, publicly display, transmit, synchronize, and otherwise exploit your submitted audio recordings and associated artwork/metadata through the DSPs for the purpose of generating revenue.
• Sub-license: Grant sub-licenses to DSPs and other third parties as necessary to facilitate the distribution and exploitation of your music.
• Use of Name and Likeness: Use your name, artist name, likeness, and biographical information for promotional and marketing purposes related to the distribution of your music through Impulse Tunes.

This license is granted for the term of this Agreement and extends to all current and future forms of digital exploitation.

3. Artist’s Representations and Warranties

You represent and warrant that:

• Ownership and Rights: You are the sole owner or have obtained all necessary rights, licenses, and permissions for all content you submit to Impulse Tunes, including but not limited to sound recordings, musical compositions, lyrics, artwork, and any other materials. Your content does not infringe upon the copyrights, trademarks, privacy rights, publicity rights, or any other rights of any third party.
• Clearances: You have obtained all necessary clearances and paid all required mechanical, synchronization, public performance, and any other royalties or fees related to your music.
• No Infringement: Your content does not contain any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Accuracy: All information you provide to Impulse Tunes is accurate, complete, and truthful.

You agree to indemnify and hold harmless Impulse Tunes, its affiliates, employees, and partners from any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from any breach of your representations and warranties.

4. Royalties and Payments

• 100% Royalty Model: Impulse Tunes operates on a 100% royalty model. This means that after the DSPs deduct their fees (which vary by platform), you will receive 100% of the net royalties generated from your music that Impulse Tunes collects on your behalf. Impulse Tunes does not take a percentage of your earnings.
• Payment Threshold: Payments will be disbursed to you once your accumulated earnings reach a minimum threshold, which will be clearly stated in your Impulse Tunes account dashboard.
• Payment Schedule: Payments will be processed on a regular basis, typically monthly or quarterly, as specified in your account, after a reasonable period for DSP reporting and payment processing.
• Payment Method: Payments will be made via the payment method you select and configure in your Impulse Tunes account (e.g., bank transfer, mobile money, PayPal). You are responsible for any fees associated with your chosen payment method.
• Tax Information: You are responsible for providing Impulse Tunes with accurate tax information as required by relevant laws. Impulse Tunes will issue any necessary tax documentation (e.g., tax forms) as required by law.

5. Term and Termination

• Term: This Agreement commences on the date you accept these terms and continues indefinitely unless terminated by either party as outlined below.
• Termination by Artist: You may terminate this Agreement at any time by providing written notice through your Impulse Tunes account or by contacting our support. Upon termination, Impulse Tunes will initiate the takedown of your music from all DSPs. Please note that takedowns can take several weeks to process fully across all platforms.
• Termination by Impulse Tunes: Impulse Tunes may terminate this Agreement at any time for any reason, including but not limited to, breach of this Agreement by the Artist, suspected fraudulent activity, or infringement of third-party rights.
• Effect of Termination: Upon termination, Impulse Tunes will cease distributing your music, and your access to the platform may be revoked. Any outstanding royalties will be paid out in accordance with the payment terms. Provisions relating to indemnification, warranties, and any accrued financial obligations shall survive termination.

6. Disclaimer of Warranties

Impulse Tunes provides its services on an “as-is” and “as-available” basis. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We make no guarantees regarding the timing or amount of royalties you will earn, as this depends entirely on the consumption of your music by third parties.

7. Limitation of Liability

In no event shall Impulse Tunes be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with this Agreement or the use of our services, even if advised of the possibility of such damages. Impulse Tunes’ total liability to you for any and all claims arising out of or in connection with this Agreement shall not exceed the amount of royalties actually paid to you by Impulse Tunes in the six (6) months preceding the claim.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be resolved through good-faith negotiation. If a resolution cannot be reached, the parties agree to submit to the exclusive jurisdiction of the courts located in Ghana.

9. Miscellaneous

• Entire Agreement: This Agreement constitutes the entire agreement between you and Impulse Tunes regarding the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, and communications.
• Amendments: Impulse Tunes reserves the right to modify or update this Agreement at any time. We will notify you of any material changes via email or through your Impulse Tunes account. Your continued use of our services after such modifications constitutes your acceptance of the revised Agreement.
• Assignment: You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Impulse Tunes. Impulse Tunes may assign its rights and obligations without restriction.
• Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Force Majeure: Impulse Tunes shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
